Enovis to Acquire eCential Robotics for $180M
Medical technology firm Enovis has made a binding offer to acquire French surgical robotics company eCential Robotics for €155 million ($180M+).

Enovis Corp. Has entered a binding offer to acquire eCential Robotics for €155 million, which is over $180 million. The acquisition will integrate eCential's modular surgical robotics platform for bone surgery into Enovis's ASTRA orthopedic technology platform.
According to the company, the move is a response to evolving market and customer demands. "Supplementing our existing platform by providing a robotic solution will only accelerate our position in the market and broaden our strategic options as we innovate in this space in the future," said Damien McDonald, CEO and director of Enovis, in a conference call. The transaction is expected to close by the end of 2026.
Enovis plans a total payment of €176 million ($204.3 million) to eCential's shareholders at closing. An additional contingent consideration of up to €35 million ($40.6 million) is payable upon the achievement of certain milestones.
| Payment Component | Amount (EUR) | Amount (USD approx.) |
|---|---|---|
| Closing Payment | €176 million | $204.3 million |
| Contingent Milestone Payment | Up to €35 million | $40.6 million |
ECential's Modular Platform and Team
Based in Gières, France, eCential Robotics was founded on over 15 years of innovation in computer-assisted surgery. Its modular platform is designed for the next generation of robotic-assisted surgery and has been used in spine and knee procedures. Earlier this year, physicians at the Surgery Center of Hackensack began using eCential's systems for advanced robotic spine surgeries in an ambulatory setting.
CEO Clément Vidal stated his company's strategy has always been to offer surgeons easy-to-use, new technology to improve workflows and patient outcomes. He expressed excitement about joining Enovis to pursue a shared mission for greater operating room efficiency.
Enovis's CEO emphasized the acquisition is about more than just hardware. "We're accelerating our pathway to bring a robotic platform to market by acquiring talent, intellectual property, and advanced capabilities," McDonald said. He highlighted that eCential brings an exceptional team of over 50 employees with a proven track record of designing and launching three robotic platforms in orthopedics and spine.
Product Roadmap and Market Strategy
Enovis claims eCential's expertise in robotics engineering and software will accelerate its own robotic innovation. The company plans to bring a next-generation robot to market within two years. The initial focus will be on the knee, where eCential already has validated technology and market requirements are well understood. A shoulder application will follow soon after.
Targeting the shoulder is a strategic move for Enovis. The company already holds a significant global market share in total shoulder arthroplasty. McDonald asserted that current robotic offerings for this application are "suboptimal."
A key differentiator for the future product will be eCential's robotic arm, which offers seven degrees of freedom. McDonald also noted that eCential owns the robotic control layer of its technology, which should ease software integration into the broader ASTRA system. The report from The Robot Report states the deal aims to create a more comprehensive technology ecosystem for orthopedic surgeons.
