FORT Robotics, a leading provider of safety technology for robots, has announced a merger with Newbury Street II Acquisition Corp., a special-purpose acquisition company (SPAC). The deal will take FORT Robotics public, with the combined company valued at over $500 million.

## Trust Layer Provides Interoperability and Safety

FORT Robotics' Trust Layer is a platform that allows systems from different manufacturers to operate safely around humans and in shared environments. The platform is backed by 25 patents and has been certified to meet Safety Integrity Level 3 per IEC 61508. The company's focus on safety is driven by its mission to "ensure robots cause no harm."

FORT Robotics has a strong track record of innovation, with a 62% year-over-year growth rate in 2025. The company has also maintained standalone gross margins of 70% in 2024 and 66% in 2025. Its operating expenses grew at only 19% in 2025, and revenue per employee was $276,000.

## Strong Growth and Customer Base

FORT Robotics has demonstrated strong growth, with a 3.8x increase in its six-figure customer base since 2021. The company has also deployed more than 19,500 units globally and has a strong customer base, with no single customer representing more than 9% of 2025 revenue.

## Combined Company to be Valued at Over $500 Million

The combined company, to be named FORT Robotics Holdings Inc., will be listed on Nasdaq at a valuation of $556.6 million. FORT Robotics will retain an estimated 67% majority ownership stake in the combined company. The transaction is expected to deliver approximately $201 million in gross proceeds, which will be used to accelerate development of the company's next-generation safety intelligence, observability, and cybersecurity software.

FORT Robotics plans to use the proceeds to scale global go-to-market and channel partner efforts and support "targeted, high-synergy tuck-in" merger and acquisition opportunities. The boards of directors of both FORT and Newbury Street II have each unanimously approved the deal, subject to shareholder and regulatory approval. They expect the merger to close in the fourth quarter of 2026.
